Terms of Service

These Terms of Service ("Terms") govern your use of Project Commander ("the App"), available as a Jira Cloud app and as a standalone web application at projectcommander.app/app. By installing or using the App in either form, you agree to these Terms.

1. Acceptance of Terms

By installing, accessing, or using Project Commander, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not install or use the App.

If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Project Commander is available in two forms:

2.1 Jira Cloud App

A full-page Jira app and dashboard gadget that provides:

  • Sprint capacity planning, delivery forecasting, and scope tracking
  • Visual workload distribution by team member
  • Drag-and-drop issue and sprint management
  • Velocity tracking, historical analysis, and risk identification
  • Auto-leveling to redistribute work across sprints
  • Optional AI-powered insights (requires your own API key — see Section 6)

2.2 Standalone Web App

A browser-based version at projectcommander.app/app. The standalone app connects to your Jira Cloud instance via API token. Your Jira credentials (email and API token) are stored only in your browser's session storage — they are never transmitted to or stored on our servers. Credentials are automatically cleared when you close the browser tab or end your session.

The standalone app provides the same analysis features as the Jira Cloud app. Connect Jira requires a beta access code; Demo mode is open without a code. Features may change, and the service may be interrupted or discontinued at any time without notice.

3. License and Usage

3.1 License Grant

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use the App in connection with your Jira Cloud instance.

3.2 License Tiers

  • Pilot / Free Trial: Full access to all features for the agreed pilot duration. No payment is required during the pilot period.
  • Paid License: Full access to all features, billed according to the pricing terms agreed at the end of the pilot or through the Atlassian Marketplace.

3.3 Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble the App
  • Modify, adapt, or create derivative works based on the App
  • Sublicense, sell, resell, or transfer the App to third parties
  • Use the App for any unlawful purpose
  • Attempt to circumvent license restrictions or access controls
  • Use automated systems to abuse or overload the App

4. Distribution and Atlassian Platform

The Jira Cloud app is distributed as an Atlassian Forge app. Depending on the distribution method, your use may also be subject to:

  • Atlassian Marketplace Terms of Use (if installed via the Marketplace)
  • Atlassian Cloud Terms of Service

In case of conflict between these Terms and Atlassian's terms, Atlassian's terms shall prevail with respect to your use of the Atlassian platform.

5. Fees and Payment

5.1 Pilot Customers

Customers using the App under a pilot agreement receive full access at no charge for the agreed pilot duration. Pilot terms (duration, success criteria, and post-pilot options) are defined in a separate pilot agreement.

5.2 Marketplace Customers

Customers installing via the Atlassian Marketplace are charged according to the pricing displayed on the Marketplace listing. Fees are based on the number of users in your Jira instance. Billing, refund policies, and billing cycles are governed by Atlassian's Marketplace policies.

5.3 End of Pilot

At the end of the pilot period, you may convert to a paid license or uninstall the App. Pricing will be confirmed in writing before any charges apply.

6. Data, Privacy, and AI Providers

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

Key Point: Project Commander does not store your Jira data outside of Atlassian's infrastructure. All data access is performed through Atlassian's secure APIs.

6.1 AI Features

Project Commander includes optional AI-powered features. These are disabled by default and only activate when you explicitly trigger them after supplying your own API key from a supported AI provider (Anthropic, OpenAI, or Google Gemini). When you trigger an AI feature:

  • A summary of relevant Jira data (issue summaries, statuses, points, assignee names) is transmitted to the provider you have configured
  • You are responsible for reviewing and accepting the terms and privacy policy of the AI provider whose key you supply
  • Project Commander does not log, store, or retain any data sent to or received from AI providers
  • Removing your API key from Settings disables all AI features and stops all data transmission to AI providers

6.2 Standalone App Credentials

When using the standalone web app, you provide your Jira instance URL, email address, and API token. These credentials are:

  • Used solely to make API calls to your Jira instance during your active browser session
  • Stored only in your browser's session storage (cleared when the tab closes)
  • Passed per-request through our secure proxy function and never stored on our servers
  • Your responsibility to keep secure — we recommend revoking your API token at id.atlassian.com if you have any concerns

6.3 Your Responsibility

You are responsible for ensuring you have the necessary permissions to connect your Jira instance to a third-party application. You are also responsible for keeping your API token secure.

7. Intellectual Property

Project Commander, including its code, design, and documentation, is protected by copyright and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

You retain all rights to your Jira data. We claim no ownership over any data you access or manage through the App.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that:

  • The App will meet your specific requirements
  • The App will be uninterrupted, timely, secure, or error-free
  • Results obtained from the App will be accurate or reliable
  • Any errors in the App will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, business, or goodwill
  • Any damages exceeding the fees paid for the App in the 12 months preceding the claim

This limitation applies regardless of the theory of liability (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Project Commander and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any rights of a third party

11. Modifications to Service

We reserve the right to:

  • Modify or discontinue features with reasonable notice
  • Update the App to improve functionality or security
  • Change pricing with notice through the Marketplace

We will make reasonable efforts to notify users of significant changes through the Marketplace listing or App interface.

12. Termination

12.1 By You

You may stop using the App at any time by uninstalling it from your Jira instance.

12.2 By Us

We may suspend or terminate your access if you violate these Terms or engage in conduct that harms the App or other users.

12.3 Effect of Termination

Upon termination, your license to use the App ends immediately. App configuration data stored in Forge will be deleted. Your Jira data is unaffected.

13. General Provisions

13.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Project Commander regarding the App.

13.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

13.5 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes through the Marketplace listing or App interface. Your continued use of the App after changes constitutes acceptance of the updated Terms.
